Abstract: One of the key roles in a company is played by the director, as they are considered the cornerstone of good corporate governance. A director is someone who supervises, manages, or controls anything, especially if they work for a business. They are also a person who has been legitimately elected or nominated to manage and supervise a company's activities. Normally, the directors of a company are chosen by the shareholders.1 Therefore, the directors are elected by the shareholders to represent their interests and to manage the corporation in a way that will maximize their return on investment. Furthermore, there is an organization in which there are directors who are of independent nature, which means an independent director is a corporate board member who is not affiliated with the company, its management, or its major shareholders. The Independent directors bring an outsider's point of view, sometimes challenging the company's existing management and practices in order to ensure that the company is operating in the best interests of its shareholders. Independent directors are held to the highest standard of care and are legally and ethically obligated to act in the best interest of the company and its shareholders. They are expected to bring an objective, independent perspective to their decision-making and may be required to review and approve the company's financial statements.3
